This agreement is between Ovii Technologies Private Limited and the person or organization using Ovii ("you" or "your"). By accessing Ovii, creating an account, submitting payment, or using any feature on the platform, you agree to these Terms and Conditions and the related policy pages linked below.
1. Service details
Ovii is a software-as-a-service platform that offers digital hiring and career tools. Ovii does not sell physical goods. The platform may include:
- Recruiter and employer tools such as applicant tracking, candidate sourcing, resume screening, assessments, interview scheduling, analytics, and related paid subscription plans.
- Institution tools such as campus placement management, student assessments, employer coordination, and reporting.
- Candidate and student tools such as job discovery, application tracking, resume and profile management, mock interviews, and other premium digital features.
- Paid subscriptions, credit packs, add-ons, and other online access sold through the Ovii platform.
Features, usage limits, pricing, service duration, and plan eligibility are shown at checkout, on the pricing page, or in the applicable order form or subscription agreement.
2. User responsibilities
- You must provide accurate, current, and complete information while registering and using the platform.
- You are responsible for maintaining the confidentiality of your account credentials and for activity performed through your account.
- You must use Ovii only for lawful business, recruitment, education, or career-development purposes.
- You must comply with applicable employment, privacy, anti-discrimination, consumer, and technology laws.
- If you use Ovii on behalf of a company, university, or other organization, you confirm that you have authority to bind that organization to these terms.
3. Payment terms
Ovii offers both free and paid digital services. For paid services, the following payment terms apply:
- Prices, billing frequency, taxes, included features, and usage limits are disclosed at checkout or in the commercial order form.
- Unless otherwise stated, paid services are billed in advance for the relevant subscription term or digital product.
- By making a payment, you authorize Ovii and its payment gateway partners to process the transaction using your selected payment method.
- Recurring billing, if enabled for a specific service, continues until canceled in accordance with the plan terms.
- Fees are generally non-refundable except where expressly stated in the Cancellation and Refund Policy or where required by law.
- Ovii may suspend or restrict paid services for non-payment, payment reversals, fraud risk, or abuse.
4. Usage restrictions
You agree not to misuse the platform. Prohibited conduct includes:
- Providing false, fraudulent, infringing, or misleading content.
- Using the platform to harass, discriminate against, or harm any person.
- Scraping data, reverse engineering the service, bypassing access controls, or interfering with security measures.
- Uploading malware, spam, illegal content, or any material that violates third-party rights.
- Using the service in violation of applicable laws, regulations, or contractual restrictions.
5. Intellectual property ownership
Ovii and its licensors own the software, source code, interface design, trademarks, logos, content, assessment materials, documentation, and other intellectual property made available through the platform, except for content you lawfully upload.
- Your use of Ovii gives you a limited, non-exclusive, non-transferable, revocable license to access the service for its intended purpose.
- You may not copy, resell, modify, distribute, or create derivative works from Ovii's software or materials without written permission.
- You retain ownership of your lawful content, but you grant Ovii the rights needed to host, process, display, and deliver the service.
6. Disclaimers and limitation of liability
Ovii is provided on an "as is" and "as available" basis. While we work to maintain reliability and security, we do not guarantee uninterrupted or error-free operation.
- Ovii does not guarantee hiring outcomes, placement outcomes, interview results, or specific commercial outcomes.
- To the maximum extent permitted by law, Ovii is not liable for indirect, incidental, special, consequential, or punitive damages.
- Ovii's total liability for claims arising out of the service is limited to the amount paid by you to Ovii for the relevant service during the 12 months preceding the claim, subject to applicable law.
- Nothing in these terms excludes liability where exclusion is not permitted by law.
7. Dispute resolution and governing law
- Before formal proceedings, you agree to first contact Ovii in good faith so the parties can attempt an informal resolution.
- If a dispute is not resolved informally, disputes relating to these terms, the service, or a paid transaction may be resolved through binding arbitration in Bangalore, Karnataka, India, unless applicable law requires another forum.
- These Terms and Conditions are governed by the laws of India.
- Either party may seek urgent injunctive or protective relief from a court of competent jurisdiction where appropriate.
