Tilt seeks a remote U.S.-based Corporate Counsel to act as a trusted legal partner across commercial contracts, corporate governance, capital markets, M&A, and employment matters. The role offers ownership of key workstreams and exposure to an IPO‑bound fintech business.

What You'll Likely Work On

  • Negotiate and draft commercial contracts, vendor agreements, tech/data integrations, and marketing partnerships while building templates and AI‑enabled playbooks.
  • Manage board and committee materials, corporate records, cap table matters, and equity administration to support IPO readiness.
  • Lead equity and debt financing transactions, including structured warehouse facilities, covenant compliance, and lender diligence.
  • Participate in domestic and cross‑border M&A deals, handling drafting, negotiation, diligence, and post‑closing integration.
  • Advise People on labor and employment issues, reduce exposure, and oversee equity compensation programs.
  • Create cross‑border legal frameworks as Tilt expands internationally.
